Profile

Joshua Jacobs is a member of the firm’s transactional practice group where he focuses his practice on commercial real estate, corporate law, and business transactions. He has substantial experience in leasing, ranging from build-to-suit and ground leases to industrial, office, and retail leases, as well as the acquisition and disposition of single assets and multi-property portfolios. Joshua also provides corporate guidance on entity formation, governance, financing, joint ventures, and strategic business deals, and, as a member of the Delaware Bar, advises clients on Delaware corporate and partnership law.

He represents owners, developers, investors, and closely held businesses across industries including real estate, technology, maritime, and energy. His work includes acquisitions and dispositions, financing transactions, and corporate restructurings, as well as advising on joint ventures and ongoing governance matters. Joshua particularly enjoys working with entrepreneurs and family-owned businesses, helping them navigate both day-to-day operations and long-term strategic planning, and has advised clients on matters nationwide.

Experience

  • Represented client in connection with a $100 million development loan for the construction of a medical office project.
  • Lead counsel for a national healthcare company in connection with its leasing operations, overseeing commercial leasing transactions for medical office and related facilities nationwide.
  • Represented a developer in the negotiation and drafting of the operating agreement for a $100 million housing project.
  • Represented client in connection with a $20 million loan for the development of a multifamily project.
  • Represented landlord in the negotiation and drafting of a lease for more than 40,000 square feet of industrial space to a high-technology manufacturer, with a total lease value exceeding $3.5 million.
  • Represented a blockchain company in connection with its formation, including preparation of organizational documents, offering memorandum, and documentation for its initial target capital raise of $20 million.
  • Represented a logistics company in connection with the transportation of sensitive U.S. Government cargo valued at over $16 billion, drafting freight forward and shipping charter agreements for one of the largest single transportation contracts in history.
