Patrick Klingborg is a transactional attorney who provides tailored, solution-oriented legal advice to clients in a variety of practice areas, including technology, life sciences, health care, leisure & hospitality and wine, beer & spirits. One of Patrick’s strengths is the fact that he has a broad background from which to draw during negotiations. With prior experience at both a mid-size regional law firm and a large international law firm, he has successfully navigated matters ranging from commercial contracts worth a few thousand dollars, multi-million-dollar debt and equity financings, acquisitions of private companies valued at a few hundred million dollars and a merger for a publicly traded company that exceeded one billion dollars. Patrick received his Bachelor of Arts from UC San Diego and his law degree from University of San Diego School of Law.
- Represented publicly traded genetic testing company in $1.4 billion acquisition of a private precision oncology company
- Advised publicly traded Canadian cannabis company in its $300 million acquisition of a U.S. craft brewery
- Counseled private equity buyer in its $216 million purchase of a Newport Beach hotel
- Represented private AI network security company in its $200 million sale to a publicly traded networking software company
- Advised multiple medical practice owners in the sales of their practices to corporate buyers
- Counseled various investors and emerging companies in venture financings
- Represented angel investors in convertible note and SAFE investments into startup companies
- Negotiated debt financings on behalf of both lenders and borrowers
- Advised hotel owners and operators in the negotiation of hotel management agreements
- Counseled clinical research organizations in the drafting of clinical trial agreements
- Represented various wine, beer & spirits suppliers, and distributors in negotiating supply, distribution, importation, sales, concession, private label and promotional agreements
- Advised real estate licensor of multi-family rental communities with respect to the negotiation of management and license agreements
